Fitness & Spa Membership Agreement

Facilities Unavailable
If any of the facilities or services described in the Agreement become unavailable or are no longer fully operational, before full receipt of the services and use of facilities for which Member contracted, Member is liable for only that portion of the Agreement at the time of the unavailability. Member is able to cancel and receive a refund of fees already paid for remainder of membership. Noting in this subsection shall not restrict Grand Geneva's ability to: (a) Perform regular maintenance or make prompt equipment repairs; (b) Make improvements to the facilities or services; or (c) Replace a facility or service with a superior facility or service.

Death or Disabilities
If a member is unable to make use of or receive the center services contracted for because if death or disability, Member is liable for only that portion of the total consideration proportional to the elapsed time portion of the Agreement at the time of the death or disability.

Indemnification
Member, for itself, its spouse, children, heirs, dependents, guardians, legal representatives, successors and assigns, hereby indemnifies, defends, and holds harmless Grand Geneva, its parent, subsidiary, and affiliated corporations, and their respective shareholders, officers, directors, employees, contractors, agents, successors and assigns from and against all demands, including, without limitation, interest penalties and attorneys fees and expenses, asserted against, resulting to, imposed upon or incurred by Grand Geneva, its parent, subsidiary and affiliated corporations, and/ or their respective shareholders, officers, directors, employees, contractors, agents, successors, and assigns directly or indirectly by reason of, resulting from or associated with the Agreement and/ or Grand Geneva's operation of the Fitness Center.

Cancellation* and Refunds - Right to Cancel
You are permitted to cancel this Agreement until midnight of the third operating day after the date on which you signed this Agreement. If the facilities or services that are described in the Agreement are not available

at the time you sign the Agreement, you have until midnight of the third operating day after the day on which you received notice of their availability to cancel the Agreement. If within this time period you decide you want to cancel this Agreement, you may do so by notifying Grand Geneva by any writing mailed or delivered to Grand Geneva at the address shown on the Agreement, within the previously described time period. If you do so cancel, any payments made by you, less a user fee of not more than $3 per day of the actual use, will be refunded within 21 days after notice of cancellation is delivered, and by any evidence of any indebtedness executed by you will be canceled by Grand Geneva and arrangements will be made to relieve you of any further obligation to pay the same.

Membership Suspension Policy
WELL Spa + Fitness Center will extend a membership suspension on memberships under the following terms: (a) Request for Suspension of Agreement must be done by any writing mailed or delivered to Grand Geneva at the address show on the Agreement; (b) Current membership card MUST accompany request for suspension; (c) Request must adhere to the following and have legal documentation: Medical Disability, Active Duty Military Transfer, Missionary Assignment, or TEMPORARY Employment Transfer (The location of your transfer must be more than 50 miles from the WELL Spa & Sport Center location. The minimum term of a temporary transfer suspension is three (3) months and the maximum is six (6) months.

Notice
You must provide at least thirty (30) days notice for a suspension request to allow WELL Spa and the Fitness Center to process your request. If your request does not meet the guidelines of the Membership Suspension Policy, you will be notified that your request has been denied and your membership shall remain active. Vacation and Seasonal residence requests will be considered on a pre-approved basis only. No exceptions.
*We reserve the right to cancel a membership at any time if the policies or procedures of are not adhered to.
